Seed Enterprise Investment Scheme (SEIS)
This is aimed at the smaller company looking to fund-raise, and with no more than two years trading history, looking for £150,000 over two years. In exchange for the funding, the HMRC allows the investors tax reliefs against income tax, capital gains tax, further tax relief on losses, IHT and increase in share value.
Since the 2017 Budget a new qualifying condition means that all relevant factors about the investment are to be ‘considered in the round’. The intention of the condition is to restrict the permissions to genuine entrepreneurial companies, in that the tax relief must not be designed primarily to preserve the investor’s original capital and /or provide low risk investment.
ENTERPRISE INVESTMENT SCHEME (EIS)
EIS is for larger companies looking for up to £12m in total, or £5m per year, and with no more than seven years trading history. In exchange for the funding, the HMRC allows the investors tax reliefs against income tax and IHT.
We are involved both in matching investors with suitable companies, or advising companies looking for investors and can advise and assist with decisions for your business, no matter what size.
We can help you and your company complete an advance assurance form, the ‘SEIS / EIS (AA)’. As regulations constantly change, we ensure that our system is updated regularly to reflect this since we need to prepare your tax returns based on what you decide, in-line with the latest and most relevant legislation and ensure compliance with Companies House and HMRC filing requirements.
We can also assist you with budgets, forecasts, management accounts (budget variance reports) and voluntary statutory audits should you, or the investor(s) or your bank require these.”
